Terms of Service

1. Acceptance of Terms
By accessing or using Givly ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service, including nonprofit organizations ("Organizations") and their donors ("Donors").
2. Description of Service
Givly provides a platform for nonprofit organizations to:
- Accept online donations from supporters
- Manage donor relationships and information
- Create and track fundraising campaigns
- Generate donation receipts for tax purposes
- Send automated thank-you emails to donors
3. Account Registration
3.1 Eligibility
To use Givly, you must be at least 18 years old and represent a legitimate nonprofit organization or charitable entity. You are responsible for ensuring your organization complies with all applicable laws.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
3.3 Accurate Information
You must provide accurate, current, and complete information during registration and keep your account information updated. Providing false information may result in account termination.
4. Donations & Payments
4.1 Payment Processing
All payments are processed by Stripe, our third-party payment processor. By using our Service, you agree to Stripe's Services Agreement and Privacy Policy. Givly does not store credit card information.
4.2 Refunds
Refund policies are determined by each Organization. Donors should contact the Organization directly for refund requests. Givly is not responsible for issuing refunds but may facilitate the process.
4.3 Recurring Donations
Monthly recurring donations will be charged automatically until cancelled. Donors can cancel recurring donations by contacting the Organization or through Stripe's customer portal.
4.4 Fees
Givly's pricing and fees are outlined on our website. Payment processing fees charged by Stripe are separate and apply to all transactions. We reserve the right to modify our fees with 30 days notice.
5. Tax Receipts
Organizations are solely responsible for ensuring the accuracy of tax receipts issued through our platform. Organizations must:
- Verify their tax-exempt status is current and valid
- Provide accurate tax identification numbers
- Comply with all applicable tax laws and reporting requirements
- Issue receipts only for legitimate, tax-deductible donations
Givly provides tools to generate receipts but makes no guarantees about tax deductibility. Donors should consult their tax advisors.
6. Prohibited Uses
You may not use the Service to:
- Collect donations for personal use or fraudulent purposes
- Misrepresent your organization's identity or status
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malware or harmful code
- Attempt to gain unauthorized access to our systems
- Harass, abuse, or harm other users
- Engage in money laundering or terrorist financing
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Givly and are protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of content you upload (logos, images, etc.) but grant us a license to use it for providing the Service.
8. Termination
We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:
- Your access to the Service will cease immediately
- You may request export of your data within 30 days
- Pending donations may be cancelled or refunded
- We may retain data as required by law
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible for the actions of third parties, including Organizations or payment processors.
10. Limitation of Liability
IN NO EVENT SHALL GIVLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLES, RESULTING FROM:
- Your use or inability to use the Service
- Unauthorized access to your data
- Actions of third parties on the Service
- Any errors or omissions in content
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Givly and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
